These Terms of Service ("Terms") govern your use of the AI Sidekick website and services. By accessing or using our services, you agree to be bound by these Terms.

1. Services

AI Sidekick provides two categories of services for small businesses:

Ad Creative Services: AI-generated ad creative designed for your business. Free sample ads are provided upon request. Paid subscription plans include a set number of ad creatives per month, delivered digitally. All ads are created using AI tools and reviewed by our team before delivery.

AI Automation Services: AI-powered automation systems including two-way SMS, AI receptionist, lead follow-up, and review automation. These services are provided on a subscription basis as described in your service agreement.

2. Eligibility

You must be at least 18 years old and have the authority to bind the business entity you represent to use our services.

3. Account and Service Setup

• You are responsible for providing accurate business and contact information
• You are responsible for maintaining the confidentiality of any account credentials
• You agree to notify us promptly of any unauthorized use of your account
• We will work with you during setup to customize messaging and workflows for your business

4. Pricing and Payment

• Current pricing is listed on our website and may be updated from time to time
• Setup fees are due upon commencement of service implementation
• Monthly subscription fees are billed in advance on a recurring basis
• All fees are in US dollars and are non-refundable except as required by law

5. Ad Creative Delivery and Ownership

• Free sample ads are provided for evaluation purposes and may include watermarks
• Paid subscribers receive unwatermarked ad creatives as specified in their plan
• Upon delivery, you own the rights to use the ad creatives for your business marketing
• AI Sidekick retains the right to display work created for clients in our portfolio, website, marketing materials, and case studies unless you request otherwise in writing
• Ad creatives are designed for digital advertising use and are delivered as image files

6. Cancellation

You may cancel your subscription at any time by contacting us. There are no long-term contracts. Upon cancellation:

• Your service will continue through the end of the current billing period
• No further charges will be made after the current billing period
• We will provide you with any data we hold on your behalf upon request

7. Acceptable Use

You agree not to use our services to:

• Send spam, unsolicited messages, or communications that violate applicable laws
• Violate the Telephone Consumer Protection Act (TCPA) or similar regulations
• Misrepresent your identity or business
• Engage in any activity that is illegal, harmful, or deceptive

8. AI-Generated Content and Communications

Our services use artificial intelligence to generate content and communications. You acknowledge that:

• Ad creatives are generated using AI tools and reviewed by our team before delivery
• You are responsible for reviewing ad creatives before using them in your marketing
• For automation clients: AI-generated messages are based on templates and guidelines you approve
• You are ultimately responsible for the content and communications used on your behalf
• AI systems may occasionally produce unexpected results; we provide revision and escalation paths
• For automation clients: automated text messages and calls may be sent to your customers using the contact information they provide with proper consent
• For automation clients: phone calls handled by AI voice systems may be recorded for quality assurance purposes, with verbal disclosure provided at the start of each call

9. Data and Privacy

Your use of our services is also governed by our Privacy Policy. We take data protection seriously and implement reasonable security measures. You retain ownership of your business data and customer information.

10. Limitation of Liability

To the maximum extent permitted by law, AI Sidekick shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising from these Terms or our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee specific business results, revenue increases, or lead conversion rates. Results vary based on industry, location, and other factors.

12. Indemnification

You agree to indemnify and hold harmless AI Sidekick from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your violation of any third party's rights. This includes any claims, damages, or regulatory penalties arising from failure to obtain proper consent from your customers for automated calls, text messages, or other communications sent through our platform.

13. Client Compliance Responsibilities

If you use our AI automation services to communicate with your customers, you represent and warrant that:

• You have obtained all required consumer consents necessary for AI Sidekick to place calls, send text messages, and deliver automated communications to your customers
• You will maintain documentation of such consent and provide it upon request
• You will include appropriate consent language on your own website forms and intake processes
• You are responsible for ensuring your AI voice agent greeting includes recording disclosure where required by law

14. Data Handling

Upon termination of your service, AI Sidekick will delete or return all customer contact data within 30 days, except where retention is required by law or necessary to document compliance obligations. You retain ownership of your customer data at all times.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Dallas County, Texas.
